Our corporate team seeks to identify the focus and the priorities of our clients, in order to propose efficient and creative legal solutions to all stages of an operation.

The corporate team has vast experience in establising businesses in Brazil and advises domestic and foreign clients from several areas of the industry in structuring business operations and preparing corporate documents, such as bylaws/articles of association, contracts, amendments, stockholders'/shareholders' agreements, transformation, spin-offs, mergers, and incorporation.

The activities of the department include the following:

� Assistance to domestic and foreign companies/associations/foundations in their daily activities, such as establishment, modification, and reorganization. Preparation of social contracts, statutes, shareholders' agreements, consortium contracts, minutes, and other corporate documents

� Establishment of civil associations and private foundations; guidance and planning for better use of legal benefits and tax incentives, including the acquisition of certificates and titles and preparation of contracts and partnerships terms

� Guidance in meetings of stockholders/shareholders; record of minutes and organization of books and corporate documents

� Assistance in projects of acquisition, merger, incorporation, and corporate reorganization

� Orientations on the best practices of corporate governance

� Orientations on family succession

� Regulations on foreign investments

� Liquidation and dissolution of corporations
